Terms of Service: London Property Photography Limited

Welcome to London Property Photography Limited. These Terms of Service ("Terms") govern your access to and use of our marketplace website and services located at https://www.londonpropertyphotography.co.uk (the "Service"). By registering for or using the Service, you agree to be bound by these Terms.

  1. Definitions "Company": London Property Photography Limited (also referred to as "We", "Us", or "Our"), registered in England and Wales (Company No. 11714816) at 5 Luke St, London, EC2A 4PX.

"Service": The online marketplace platform that facilitates connections between Clients and Photographers.

"Client": Any user who posts a job or requests photography or videography services through the platform.

"Photographer": Any independent contractor who offers services, bids on jobs, or accepts assignments through the platform.

"Content": Any text, images, or media uploaded to the Service by users.

"Assignment": A confirmed booking between a Client and a Photographer facilitated through the platform.

  1. Nature of the Service — Platform Facilitator Only London Property Photography Limited operates solely as a technology platform and marketplace facilitator. The Company connects Clients seeking property photography services with independent Photographers who provide those services.

The Company is not a party to any contract for photography services entered into between a Client and a Photographer. The Company does not employ, supervise, direct, or control Photographers in the performance of their services. Photographers are independent contractors operating their own businesses, not employees, workers, agents, or representatives of the Company.

The Company makes no representations or warranties regarding the quality, safety, legality, or suitability of any services provided by Photographers, or the accuracy of any listing or profile on the platform.

  1. Photographer Status — Independent Contractor By registering as a Photographer on the platform, you expressly acknowledge and agree that:

You are an independent contractor operating your own business, and nothing in these Terms creates an employment, worker, partnership, agency, joint venture, or franchise relationship between you and the Company. You have full control over how, when, and where you perform services for Clients. You are solely responsible for all tax obligations, National Insurance contributions, and any other statutory obligations arising from your use of the platform. You are not authorised to make any representations, warranties, or commitments on behalf of the Company to any Client or third party. The Company shall have no liability whatsoever for your acts, omissions, or defaults when providing services to Clients.

  1. Photographer Insurance Requirements As a condition of registration and continued listing on the platform, all Photographers must, at all times while active on the platform:

Hold a valid Public Liability Insurance policy with a minimum limit of indemnity of £1,000,000 per occurrence, from a reputable FCA-authorised insurer. Hold a valid Professional Indemnity Insurance policy with a minimum limit of £100,000, covering errors, omissions, and failure to deliver services as agreed. Provide proof of the above insurance policies upon registration and upon renewal, and within 48 hours of any request by the Company. Ensure their insurance policies remain current and valid throughout any period in which they are accepting Assignments through the platform. Notify the Company immediately if any such policy lapses, is cancelled, or its terms materially change. The Company reserves the right to suspend or remove any Photographer who fails to provide evidence of adequate insurance or whose insurance lapses. Failure to hold adequate insurance does not affect the Photographer's liability to Clients or the Company under these Terms.

  1. Photographer Indemnification Each Photographer agrees to fully indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, actions, proceedings, losses, damages, costs, and expenses (including legal fees on a full indemnity basis) arising out of or in connection with:

Any act, omission, negligence, or misconduct by the Photographer in connection with any Assignment or the performance of their services; Any damage to property, bodily injury, or loss suffered by a Client, property owner, or any third party during or arising from a shoot; The Photographer's breach of these Terms; The Photographer's failure to hold adequate insurance as required under Section 4; Any claim by HMRC or any regulatory authority arising from the Photographer's tax or employment status; Any infringement of intellectual property rights by the Photographer. This indemnification obligation survives termination of the Photographer's account.

  1. Registration and Accounts To use most features of the Service, you must register for an account.

Accuracy: You agree to provide accurate, current, and complete information during the registration process and to keep it updated. Photographer Verification: Photographers must upload portfolios, verify skills, and provide proof of valid insurance before being approved to bid on or accept jobs. Security: You are responsible for safeguarding your password and for any activities or actions under your account. Notify the Company immediately of any unauthorised use.

  1. Transactions and Payments Booking and Fees: When a Client selects a Photographer or a job is auto-assigned, the platform facilitates the transaction between the Client and the Photographer directly. Commission: London Property Photography Limited charges a commission (service fee) on each transaction to cover platform operations. The applicable commission rate is displayed at the time of transaction. Payment Processing: Payments are handled via third-party processors (e.g., Stripe). Funds are typically held until the Photographer delivers the final media and the Client approves it, or the dispute window expires. VAT: All fees are subject to VAT at the prevailing rate where applicable.

  2. Intellectual Property Rights User Content: By uploading Content (such as portfolios), you grant the Company a non-exclusive, royalty-free licence to use that Content to promote the Service. Photography Ownership: Unless otherwise agreed in a separate written contract between the Client and Photographer: the Photographer retains copyright in images produced; the Client is granted a licence to use the images for marketing the specific property listed. Platform Rights: All software, design, and branding of the Service remain the exclusive property of London Property Photography Limited.

  3. User Conduct and Reliability Reliability Tracking: The platform tracks Photographer reliability (completion rates, on-time delivery) and quality (ratings) to inform the assignment algorithm. Disintermediation: Users agree not to bypass the platform to book services directly with each other to avoid platform fees, for a period of 12 months following any introduction made through the platform. Breach of this clause entitles the Company to claim an amount equal to the commission that would have been payable. Prohibited Conduct: Users may not post unlawful, offensive, or infringing content, misrepresent their identity or qualifications, or use the platform for any fraudulent purpose.

  4. Cancellations and Refunds Cancellations are subject to the specific policy displayed at the time of booking. Generally:

Cancellations with more than 24 hours' notice may be eligible for a full refund of the Client's payment. Short-notice cancellations (less than 24 hours) may incur a cancellation fee to compensate the Photographer for lost time, as displayed at the time of booking.

  1. Limitation of Liability Platform as facilitator: The Company provides a technology platform only. The Company is not responsible for and expressly excludes all liability for:

The acts, omissions, negligence, or misconduct of any Photographer or Client; Any damage to property, personal injury, or death occurring during or arising from an Assignment; The quality, fitness for purpose, or outcome of any photography or videography services; Any loss suffered by a Client arising from a Photographer's failure to attend, perform, or deliver; Any claims by third parties (including property owners or occupiers) arising from a Photographer's actions during an Assignment. Cap on liability: To the maximum extent permitted by law, the Company's total aggregate liability to any user arising from or in connection with the Service shall not exceed the total commission received by the Company in respect of the specific Assignment giving rise to the claim, or £100, whichever is greater.

Exclusion of consequential loss: The Company shall not be liable for any indirect, consequential, special, or punitive losses, loss of profit, loss of business, loss of data, or loss of reputation, whether arising in contract, tort (including negligence), or otherwise, even if the Company was advised of the possibility of such loss.

No warranty: The Service is provided "as is" without warranty of any kind. We do not guarantee the availability of Photographers, the outcome of any shoot, or that use of the platform will result in a property sale or any other commercial outcome.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

  1. Client Obligations Clients using the platform agree to:

Ensure that access to the property is available at the agreed time and that the property is in a reasonable condition for photography; Obtain any necessary consents from third parties (including landlords, tenants, or occupiers) prior to the Assignment; Not hold the Company liable for any outcome or result of an Assignment; Raise any disputes in good faith through the platform's dispute resolution process within 7 days of delivery of the final media.

  1. Dispute Resolution Between Users Any dispute arising between a Client and a Photographer in connection with an Assignment is a matter between those parties. The Company may, at its sole discretion, provide a mediation service through the platform but is under no obligation to do so and shall not be bound by any outcome.

The Company's decision in relation to any dispute referred to it (including in relation to refunds or payment release) is final and binding on both parties, provided it is made in good faith.

  1. Termination We reserve the right to suspend or terminate your account at any time, with or without notice, if you breach these Terms, if your reliability or quality scores fall below the platform's required threshold, or if we reasonably believe your continued use poses a risk to other users or the platform. Termination does not affect any rights or obligations that have accrued prior to termination, including any indemnification obligations under Section 5.

  2. Changes to These Terms The Company reserves the right to update these Terms at any time. We will notify users of material changes by email or via the platform. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

  3. Governing Law and Jurisdiction These Terms shall be governed and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  4. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions.

  5. Entire Agreement These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Service and supersede all prior agreements, representations, and understandings.
